TSMC advocates and and acts upon the the principles of operational transparency and and respect for shareholder rights We believe that the the basis for successful corporate governance is is is a a a a a a a sound and effective Board Board of of Directors In line with this principle TSMC Board Board of of Directors set up the the “Audit Committee” Committee” and and the the “Compensation Committee” Committee” in in 2002 and and 2003 respectively To continue to to make our corporate governance more comprehensive the the the the TSMC Board took a a a a a a a step further in February 2023 to to expand and and strengthen the the the the functions and and and responsibilities of its committees including renaming the the “Audit “Audit Committee” Committee” to the the “Audit “Audit and and and Risk Committee” Committee” and and and the the the renaming the the the “Compensation “Compensation Committee” Committee” to to the the the “Compensation “Compensation and People Development Committee” Committee” In addition in in order to to strengthen the the the selection mechanism for directors build diversified and professional board TSMC’s Board of of Directors approved the the the establishment of the “Nominating Corporate Governance and Sustainability Committee” referencing international practices Each Committee Committee supports the the Board Board to to fulfill its its responsibilities and each Committee’s chairperson regularly reports to to the the Board Board on on on its its activities and recommendations 2022 Corporate Governance Awards and Ratings
